Founded on July 3, 2023, in Nevada by Yuliia Zaporozhan and Victor Balan, StageWise Strategies Corp. (STWI) initially operated as a Berlin-headquartered IT and digital marketing startup. The corporate shell focused on SEO optimization tools and AI-based SaaS products for business teams. It debuted on the US OTC Markets with an initial prospectus pricing shares at $0.03. However, the stock suffered from virtually no liquidity, with its price artificially stagnating around 40-50 cents.
Prior to its acquisition, StageWise was in severe financial distress. SEC revealed revenues of just $9,007 in 2024 and $95,409 in 2025. By the end of 2025, the company reported a net loss of $74,758 and an accumulated deficit of $112,364. As of March 2026, the company’s cash balance dropped to absolute zero. Auditors issued a formal "Going Concern Risk" warning, noting that operations survived solely on zero-interest loans from directors and that internal corporate controls were completely ineffective.
Capitalizing on this distressed valuation, Jakhongir Abidovich Artikkhodjaev, a prominent Uzbek entrepreneur and principal shareholder of the Tashkent-based Tourism and Entertainment Group (TEG), executed a strategic acquisition. On June 5, 2026, he acquired 3,000,000 shares (a 74.2% controlling stake) for $750,000 using personal capital. A Schedule 13D was subsequently filed on June 16, 2026. Following the closure, all existing officers and directors resigned immediately, allowing Artikkhodjaev to install new leadership and assume effective control.
The fundamental economic rationale behind this acquisition was not StageWise's underlying IT portfolio, but its status as a fully reporting "shell company." In the US financial system, a clean, SEC-compliant shell typically commands a market value between $500,000 and $1,000,000. By executing this reverse merger, Artikkhodjaev effectively bypassed the traditional Initial Public Offering route, which would have required years of regulatory scrutiny and an estimated $3-5 million in banking, legal, and auditing fees.
The ultimate strategic objective materialized on October 6, 2026, when StageWise entered into a Share Exchange Agreement to acquire 99.99999012% of TEG SPV. In this stock-for-equity transaction, StageWise will issue 183,098,434 common shares to the sellers (TEG and Irodakhon Abduvakhitova), granting them approximately 97.3% ownership of the post-close entity. This transformation is subject to customary conditions, Uzbek registration, and a concurrent financing round of at least $18 million. Post-closing, TEG SPV will become a subsidiary and serve as StageWise’s primary operation.
Following the transaction's completion, StageWise Strategies will have exactly 188,142,768 shares outstanding.
