Significant corporate resolutions were executed at the annual general meeting of shareholders of "UzAuto Motors" JSC (ticker: UZMT) on September 30, 2026, held with a near-perfect 99.71% quorum.
The official financial statements confirmed that the company's net profit for the fiscal year 2025 reached a staggering 4,271,758,557,280 UZS (approximately 4.27 trillion UZS).
In a strongly growth-oriented capital allocation move, only 50,636,739,461 UZS was allocated for cash dividend payments to shareholders, while the remaining bulk of 4,221,121,817,819 UZS was retained strategically as undistributed corporate profit. This translates to a cash dividend of 187 UZS per ordinary share, representing a 3.74% yield relative to the share's nominal par value.
The dividends will be disbursed in cash via the Central Securities Depository over a two-month window from October 2 to December 3, 2026.
How do Retained Earnings and Dividend Mechanics Work?
Retaining roughly 98.8% of net profit is a quintessential financial strategy for highly capital-intensive sectors like automotive manufacturing. Rather than distributing operational cash to shareholders and subsequently borrowing high-interest commercial debt to fund operations, the company effectively self-finances its capital expenditures (CAPEX), assembly line modernizations, and supply chain expansions.
For institutional and retail investors, this capital model implies a structural focus on long-term equity growth and asset appreciation over short-term dividend yields.Furthermore, to reinforce institutional transparency and global compliance, the board selected "Deloitte and Touche" LLC to conduct both the full 2026 IFRS statutory audit and the 6-month interim audit. The maximum service fee for this international audit engagement was capped at 4,745,200,000 UZS (inclusive of VAT). This deliberate strategic decision under the leadership of CEO Janos Kovacs highlights the executive board's firm commitment to maintaining rigorous international financial reporting standards.
